It’s ok, but at this time, AMD has much better processors in that price range.
This Phenom II X4 955 Black Edition will blow that Intel processor out of the water. Black Edition means that it has an unlocked multiplier, meaning much, much easier overclocking.
Buying AMD also means that you’ll have to look for a different motherboard. Make sure you get an AM3 rather than just an AM2+, for more future-proofing.
Also, I expect that you are using this for gaming. What GPU do you plan on buying? My personal suggestion is the ATi HD4890. That card is amazing, and overclocks great too.
For a $100 card, I can get you soemthing much better. The GTX 9800 is OLD.
This HD 4850 is only $10 more, and will do better than the 9800 in everything. Not only is the processor itself better, but you’re also getting 1GB of VRAM instead of only 512MB.

I’ll Just show you an example for around that price. I won’t include a monitor, case, or optical drives, that is all personal preference.

If i may ask, why are you such an AMD fan?
I’m actually running an Intel Processor currently. What I am saying is that AMD has the <$1000 market cornered right now. Intel has the fastest processors (Core i7) but AMD has the affordable ones (Phenom II).
If your budget was, say, $1500, I would go Intel all the way.
And about the case: It’s total fine. Just make sure you buy a good PSU.
This Power Supply is great. You never want to go cheap on a PSU, because it can fry your components.
Hmmm interesting, alright last thing the suggested motherboard has no on board sound, and im not doing any surround sound or sound editing, what do you recommend?
Actually, it does have onboard sound. If you aren’t doing music editing or surround sound, then it will be totally fine.
Processor power and overclocking are interesting, but maybe you should focus on speed and amount of harddrives + memory, as well and, indeed, your GPU will do a lot to the speed you will in the end experience on your computer.
If you are going to overclock please pay good attention to your processor cooler, which will likely lift your budget another 80 dollars or more. (Especially if you want cooling but don’t want the noise.
